I had this a few times but inserted this clause to enable me to continue marketing the house ..

72 hour Clause

Pending fulfillment of the suspensive conditions contained in this agreement, the SELLER may continue to market the PROPERTY hereby sold .  Should he prior to fulfillment of the said condition receive a further "bona fide" written offer to purchase the PROPERTY, the following provisions shall apply;
    (a) a copy of the said offer shall be delivered to the PURCHASER, who shall be given an opportunity of 72-hours from such delivery to waive in writing all of the above provisions and present guarantees for the full purchase price acceptable to the Seller or his agent; and
    (b) should the PURCHASER not timeously avail himself to the opportunity as aforesaid, the SELLER may accept the said further offer whereupon this agreement between the SELLER and the PURCHASER shall immediately lapse and be of no further force or effect.  In such event all amounts paid by the PURCHASER (excluding occupational interest) shall be refunded to him together with interest that has accrued thereon.

From a tax perspective, it’s important to note that a tax event will be triggered when the M shares are exchanged for
Prosus shares. The M shares are considered to be received for a nil-base cost and then disposed of
for the fair value of the Prosus shares. In other words, the full value of the Prosus shares received will be considered
a taxable gain and subject to capital gains tax (CGT).
The taxable gain is expected to be around 27% of the original
Naspers N value (which is the expected market value of Prosus shares to be received).

Yes, you are of course right - I should have said 'opening price'

In terms of the proposal, shareholders will receive new Naspers M-shares as a
capitalisation issue, which do not have immediate tax liabilities. Capitalisation shares
are exempt from dividend tax, but CGT become payable whenever the shares are sold.
The circular states that the initial cost of these shares for the purposes of CGT will be
deemed to be nil, meaning that the full value of the shares will attract CGT whenever a
shareholder sells them. The M-shares are automatically replaced by NewCo shares,
which is effectively seen as two separate transactions: the sale of M-shares and the
purchase of NewCo shares

Pity about the CGT implications when opting for the M shares, but we should all have losses carried forward
to deduct from that gain. :-X  ;)
No CGT on Naspers N.

AMSTERDAM (Reuters) - South African media and tech group Naspers said on Wednesday it aims to float its consumer internet businesses on the Euronext stock exchange in Amsterdam on July 17.
Naspers will retain a 73% stake in the new company, which will have a market capitalisation in excess of 100 billion euros ($112 billion) and will hold Naspers' one-third stake in China's Tencent, as well as its OLX and "letgo" classified businesses.

Existing Naspers shareholders will receive shares representing 27% of the new company when it lists, Naspers said in a statement. Naspers announced the plan in March.

Shares of Tencent Holdings Ltd. climbed Friday after a regulator was quoted in Chinese media as saying the first batch of new videogames would be given the green light soon, signaling an end to a crippling approvals freeze.

The first group of games have been reviewed and publication numbers, which companies need before they can charge money for a game, will be approved soon, according to local reports citing Feng Shixin, deputy director of the Propaganda Department's copyright bureau. Mr. Feng announced the news Friday at the 2018 China Game Industry Annual Meeting in Hainan province.
